Member Bylaws

Article II - Membership, taken from the ECPA Bylaws

Section 1. Qualifications for Members: Voting membership in this Association is open only to publishers of Christian literature located in the USA, that have net sales from such literature in excess of $1,000,000 (average for the previous two fiscal years), and that subscribe to the Association’s Statement of Faith.

For the purposes of these Bylaws the term “Christian literature” means any book, Bible, curriculum, magazine, periodical, electronic literature or other literature which promotes, encourages, confirms, defends or establishes the individual in his/her Christian belief and evangelical Christianity in general, and is not in conflict with the Association’s Statement of Faith.

For the purpose of these Bylaws the terms “publisher” or “Christian publisher” mean any proprietorship, partnership, trust, firm, corporation, other business entity, or corporate division or subsidiary engaged primarily in the business of publishing Christian literature which involves a financial investment by the publisher in the costs of publication, the publisher does not charge the author any amount as a condition of publication, and which maintains an ongoing program of publishing Christian literature. Such an entity may be structured as for-profit or not-for-profit. Two or more distinct publishing entities may each qualify as members even if they are related through common ownership or a parent/subsidiary relationship.

Entities that maintain an ongoing program of publishing materials deemed by the Board of Directors to be in conflict with the Association’s Statement of Faith are not eligible for membership.

Entities that are deemed by the Board of Directors to be unwilling to accept and abide by the “General Principles and Practices for ECPA Members” are also not eligible for membership.

For the purposes of these bylaws, “net sales” means gross sales less returns credited or reserved for.

Section 2. Qualifications for Nonvoting Affiliates: Individuals, proprietorships, partnerships, trusts, firms, corporations, other business entities, and corporate divisions or subsidiaries not qualified for voting membership may qualify as nonvoting affiliates.

Classes of affiliation shall include:

Affiliates who are required to subscribe to the Association’s Statement of Faith:

a. Small Press Associates—entities engaged in the publication of Christian literature in the USA with net sales from such literature below $1,000,000 (average for the previous two fiscal years).

b. International Associates—entities engaged in the publication of Christian literature outside the USA.

c. Individual Affiliates—persons who have been active in the Association in past years and who are no longer involved in Christian publishing or are retired and who personally subscribe to the Association’s Statement of Faith.

d. Industry Affiliates—entities engaged in fields of business or professional activities related to the common business interests and activities of the voting members.

e. Other classes of nonvoting affiliates that the Board of Directors may from time to time create.

Such nonvoting affiliates shall pay dues and have such other obligations as the Board of Directors may from time to time establish. Notice of meetings of the voting membership of this Association need not be given to any nonvoting affiliates.
